Vendors Terms And Conditions

(1^st January 2023 to 31^st December 2023)

This document is an electronic record in terms of Information Technology Act, 2000 and rules made there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures and the same has been incorporated by reference in the Vendor Agreement (defined below).

1. Registration with Hello Grahakk is required to use the services provide by Hello Grahakk.
2. Registration shall be complete only upon Vender Registration Form.
3. Hello Grahakk will not charge any fees for registration of vendors.
4. For using additional promotional activities provided by Hello Grahakk, vendor will have to pay annual subscription fees to Hello Grahakk. Annual subscription fees can be paid quarterly or ad-hoc for one year.
5. Annual subscription fees is non-refundable.
6. Upon registration the vendor agrees to these General Terms and Conditions.
7. Vendor shall not be responsible for any rewards points to customers and rewards points shall be responsibility of Hello Grahakk.
8. Vendors will have to update their sale bills on Hello Grahakk portal on daily basis.
9. On registration, the vendor confirms that all his/her entered details are accurate, complete and truthful. The vendor undertakes to keep the information provided in his/her registration form up to date. If such information is found to be false, incorrect or out of date, Hello Grahakk may block or discontinue the vendor’s access to Hello Grahakk services.
10. Hello Grahakk by its activities shall facilitate attracting of customers to registered vendors, however it is under no obligation whatsoever to do so.
11. On sales return Hello Grahakk, share of commission shall not be refunded as the customer is getting instant rewards.
12. After the registration as vendor, you would give us reasonable outdoor/indoor branding space in your premises.
13. The registration shall be initially for a period of one year from the date of our acceptance and renewal shall be subject to the performance and Hello Grahakk’s discretion.
14. Vendors are required keep minimum balance of Rs. 1000/- only in Hello Grahakk -wallet (App).
15. Vendors are required keep minimum balance of 1000/- reward points in Hello Grahakk -wallet (App).
16. Vendor will have to raise request to convert reward points in his wallet. Hello Grahakk shall deposit amount against reward points in vendors registered bank account within 4 working days from request.
17. For approval of sale, Vendor will have verify bill of customers through OTP.
18. Vendor shall sale its products or services on MRP (wherever applicable)
19. Vendor will have to share their commission after adding GST as applicable.
20. Your registration shall be pleasure of the Hello Grahakk and shall be subject to review upon appraisal of your conduct with customers.
21. On cancellation of vendor subscription, Hello Grahakk will deposit amount against balance reward points lying in vendors account after deducting minimum balance i.e. Rs 1000/- and verification of vendors overall performance.
22. All customers shall get rewards points instantly on sale upto 50% of sale bill from Hello Grahakk.
23. Hello Grahakk shall not be responsible in any manner for any defects in goods and services provided by Vendor.
24. The vendor is personally responsible for keeping his/her login data (login, password) private. Should an unauthorized third party gain knowledge of the vendor’s data, Hello Grahakk must be notified immediately.
25. The vendor shall not be entitled to demand any authorisation to use Hello Grahakk’s services. Hello Grahakk has the right to change or even discontinue the operation of its services at any time.
26. Hello Grahakk will never share Bank Account details of its users.
27. If vendor has shared any personal correspondence, such as emails or letters, or if other users or third parties send us correspondence about activities or postings on the Platform, we may collect such information into a file specific to such vendors.
28. If the vendor discovers discrepancies in connection with the respective services, he/she shall inform Hello Grahakk of this immediately. Hello Grahakk shall not be responsible for any delay in complaint by vendor.
29. There are no verbal side agreements. Alterations and amendments to these terms shall not be valid unless made in text form (letter, e-mail), whereby this provision may only be intentionally waived in writing. No other terms shall be applicable.
30. Hello Grahakk is entitled to make alterations or amendments to its terms and conditions at any time. The vendor shall be upload any changes, if any, on the Hello Grahakk website. Unless the vendor objects within 10 working days in writing, his/her conduct is considered to constitute approval of the new terms and conditions.
31. The Vendor agrees and undertakes to fully co-operate with the Hello Grahakk as reasonably required, in connection with any customer-service functions undertaken by the Hello Grahakk.
32. The Hello Grahakk may advertise / display, on behalf of the Vendor, his name on its website or app for marketing purpose.
33. Hello Grahakk shall, from time to time, issue policy guidelines which shall be binding on you.
34. In the event of any disputes, jurisdiction of court shall be at Nagpur.
35. The Hello Grahakk will not be subject for any inability to play out its commitments where such disappointment has come about because of Force Majeure including however not restricted to fire, flood, or other regular or unnatural debacle), war, nationalization, government authorize, blockage, ban, work contest, strike, lockout or etc.
